SMS TEXT MESSAGING TERMS OF USE

SHELTER, Inc., a Not For Profit formed in California, United States (“us,” “we,” “our,” or “SHELTER, Inc.”), provides access to its text messaging service (the “Text Message Service”) using a dedicated, verified 10-digit long code (10DLC) number. This service is intended solely for conversational person-to-person (P2P) communication related to our non-profit services and client coordination. This service is not used for marketing messages.

By “Opting In” to or using the Text Message Service from SHELTER, Inc., you accept these specific Text Messaging Terms of Use.

This agreement is between you and SHELTER, Inc. or one of its affiliates. All references to “SHELTER, Inc.,” “we,” “our,” or “us” refer to SHELTER, Inc., P.O. Box 5368, Concord, CA 94524.

DEFINITIONS

“Text Message Service” includes any arrangement or situation in which we send one or more messages addressed to your mobile phone number, including text messages (such as SMS, MMS, or successor protocols or technologies).

CONSENTING TO TEXT MESSAGING

By consenting to receive text messages from us, you agree to these Text Messaging Terms and Conditions, as well as our Terms of Service and Privacy Policy, incorporated herein by reference.

E-SIGN DISCLOSURE

By agreeing to receive text messages, you also consent to the use of an electronic record to document your agreement. You may withdraw your consent to the use of the electronic record by replying STOP.

COSTS OF TEXT MESSAGES

We do not charge you for the messages you send and receive via this text message service. But Message and data rates may apply, so depending on your plan with your wireless or other applicable provider, you may be charged by your carrier or other applicable provider.

FREQUENCY OF TEXT MESSAGES

This Text Messaging Service is designated for UCaaS Low Volume and is intended for conversational person-to-person communication between you and our employees. After an initial message (which provides service details), the message frequency varies depending on your engagement with our employees and the services we are providing to you.

OPTING OUT OF TEXT MESSAGES

If you no longer want to receive text messages, you may reply to any text message with STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE.

As a person-to-person communication service, opt-out requests are specific to each conversation between you and one of our employees and their associated phone number. After unsubscribing, we may send you confirmation of your opt-out via text message. You may reply START to resubscribe to the service from that number.

SHELTER, INC. TEXT MESSAGE SERVICE PRIVACY POLICY

We respect your privacy very highly. We only use information you provide through this service to transmit your mobile messages and respond to you. This includes, but isn’t limited to, sharing information with platform providers, phone companies, and other vendors who assist us in the delivery of mobile messages.

DATA SHARING

CRITICAL MANDATORY CLAUSE: Mobile opt-in information will not be shared with third parties/affiliates for marketing/promotional purposes.

All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties. Nonetheless, we reserve the right always to disclose any information as necessary to satisfy any law, regulation or governmental request, to avoid liability, or to protect our rights or property.

INCORPORATION OF GENERAL PRIVACY POLICY

This Text Message Service Privacy Policy applies to your use of the Text Message Service and isn’t intended to modify our general Privacy Policy, incorporated by reference above, which may govern the relationship between you and us in other contexts.

MANDATORY DISPUTE RESOLUTION AND WAIVER

The following clauses are copied directly from the existing SHELTER, Inc. Terms of Service (https://shelterinc.org/terms-of-service/) and are included here to maintain legal consistency.

Governing law, severability, dispute resolution, venue and class action waiver

These Terms shall be governed and construed in accordance with the laws of the state of California, United States, without regard to its conflict of laws provisions. THESE TERMS SHALL NOT BE GOVERNED BY THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE SALE OF INTERNATIONAL GOODS, THE UNIFORM COMMERCIAL CODE, NOR INCOTERMS.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between you and us regarding our Website, and supersede and replace any prior agreements we might have had with you regarding the Website.

Any controversy or claim arising out of or relating to these Terms including but not limited to the interpretation or breach thereof shall be resolved in a court of competent jurisdiction in Contra Costa County, California.

YOU AND SHELTER, INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.
